• User Terms and Conditions

Welcome to the Toolroom Records.com website terms and conditions for use. These terms and conditions apply to the use of this website at www.toolroomrecords.com. By accessing this website and/or placing an order, you agree to be bound by these terms and conditions. Using this website indicates that you accept these terms regardless of whether or not you choose to register with or order form us. If you do not accept these terms do not use this website. These are the terms on which you will be allowed to access the subscription for membership, your account, the Toolroom Shop for permanent downloads and the purchase of materials and/or merchandise and other services operated from time to time on this web site.

• The Download Service
  

By using this website you are permitted to download music, videos or podcasts. A 'Download' is a purchased Track or Materials that is capable of being (1) Transferred to a compatible portable device. (2) Saved to your hard drive with unlimited playback time. (3) Burned to a CD/DVD. The Download service we offer on this website (the Service) is only available to persons who are 18 or over.

• Age Requirement

If you are under 18 you must get your parent or guardian to contract with on your behalf. If you are at least 13 years of age, but under 18 years of age you must present this agreement to your parent or legal guardian, and he or she must click 'Agree' to enter into this agreement on your behalf. Children under 13 years of age may not register for the service, nor may parents or legal guardian register on their behalf. If you are a parent or legal guardian entering this agreement for the benefit of your child or a child in you legal care, be aware that you are fully responsible for the childs use of the service, including all financial charges and legal liability that he or she may incur.

• Description of Service

When you register with us, we will make available for you to purchase digital downloads of certain sound and video recordings (the Tracks) and related digital content and materials (the Materials) that we have available and also promotional portions of certain Tracks. In some cases an entire Track made available free of charge (the Clips) and you may play as many clips as you like. You may also purchase merchandise (the Merchandise) being physical goods such as T-shirts, CD Wallets etc that may be offered from time to time. Using your secure password and valid e-mail address you may purchase Tracks, Materials and Merchandise. Payment will be per purchased Track, Material or Merchandise and will be taken from your credit or debit card or through a Paypal account.  

• Intellectual Property Rights
  

All Tracks, Materials or Clips and all software, artwork, graphics, video, text interfaces, trademarks, logos, images photographs, and any other element of the Tooloom Records website (collectively 'Content'), including but not limited to the layout, election, organization and co-ordination of such Content on the website is the property of or is licensed to Toolroom Productions Ltd, and is protected by trademark, copyright, and other intellectual property rights laws. Without the prior consent of Toolroom Productions Ltd, and except as provided in these terms of use, no Content may be copied, reproduced, transmitted/translated, shared , publicly displayed, uploaded, published, recorded, retransmitted, rented, sold, distributed, digitized, marketed, reproduced, altered to make new works, performed, or compiled in any way to any other computer, website or other medium for any commercial or non commercial purpose. Any security technology that is provided as part of the Download Service is an inseparable part of the Download. The Download capability does not operate to limit any rights of the copyright owners in Tracks or Material or any works embodied in them. By using this Service, you only obtain the right to download and stream the Clips, Tracks and Materials on your PC or other device. Piracy is illegal. You may not make or distribute copies to any other person or entity.

• Registration
  

You must register with us and provide your name, valid email address, gender, telephone number, and delivery and payment address details. We will use this information to process your payments for the Service and also to monitor which Tracks and/or Materials you are permitted to Download.  Under certain licences to Toolroom Records we are not permitted to allow Downloads in certain countries. It is important therefore that you give us your correct billing address. If you give us an incorrect address, and as a result of permitting the Download, we are in break of our licence, we reserve the right to cancel your registration immediately without liability to you and you will be liable to us for any subsequent losses.

• Forming a Contract with You
  

You must register your details with us in order to receive the download Service.  We may accept or reject your registration at our sole discretion. If we accept your registration you must submit your own valid e-mail address and password, which you must keep secure. You may then access the website using your password and e-mail address to purchase Tracks and or Materials and Merchandise. You are under no obligation to purchase Tracks, Materials or Merchandise from us. When you logged on to the website and you have chosen your Tracks, Materials and/or Merchandise to purchase and added these to your cart, you will be asked to click on either the 'Continue To Payment' or 'Pay By Paypal' buttons. At that point a contract between us will be formed.

• Payment
  

Payment will be taken from the credit or debit card that you have provided details for when you complete the payment type form. You will be required to provide, the card type, card number, card address , expiry date, issue date and the 3 digit pin number at the back of the card. Until the payment is processed and accepted, no Merchandise will be despatched and or  access will be given to the Tracks and/or Materials for Download products. Your card payment address details will be stored by us and remembered when you use the Service again. Therefore if you wish to use a different credit or debit card registered to another address you must tell us by editing your address details before clicking the 'Continue To Payment' or 'Pay By Paypal' box. If any of your billing information changes, you are responsible for updating the information in the applicable section of your Member Account. You are responsible for checking that the details supplied are correct, that you have sufficient funds in the account to cover the costs of Tracks, Materials and/or Merchandise. You are responsible for any charges on your account that are incurred by any person through your account, and you are solely responsible for keeping your account secure and confidential.

• Taxes
  

Toolrooms pricing policy for Download tracks , materials & merchandise is to offer them at the same price to all our customers wherever they live in the world. The tax rules are such that we have to pay VAT on all download tracks and materials purchased within the EC (except for certain tax free areas e.g. Jersey, Andorra etc)  So to areas where tax applies, we charge the price displayed and pay the relevant tax to the UK government. You are responsible for paying any non VAT governmental taxes imposed on your purchases, including but not limited to, sales, import and export duty etc.

• Processing and Delivery of Goods
  

Toolroom Records aim to despatch all Physical goods  such as Vinyl Records, CD Records, and Merchandise within 3 working days of receiving your order. Your order may be delayed if the item is not in stock. Some items may be unavailable and the current stock status is approximate. Toolroom Productions Ltd is not able to supply dates our supplier may supply an item stock to us. Goods will be sent to the Delivery Address supplied by you in your Account Details. Please allow up to 28 days for delivery.

• Postage & Packing Rates
  

We use postage units to calculate the postage and packing costs of each item based on the weight and size of the package. CD singles and very small items are 1 postage unit. CDs DVDs and 7 vinyl are 2 postage units. Postage charge will be calculated on the order confirmation page.

• Incorrect or Damaged Goods Delivered
  

If you have received incorrect items in your order, or the goods have been damaged in transit please contact our customer service department. They will advise you on how to send back the items and replace them with the correct items or the courses of actions available to you for compensation or the replacement of damaged goods.

• Refund Policy
  

Due to the nature of the service, refunds are only available on Download Tracks and Materials in exceptional circumstances at management discretion.

• Privacy Policy
  

When you set up an account or register with Toolroom Records website you can choose what level of privacy you prefer.  By establishing a Toolroom  Records Account and each time you make a purchase through our site, you grant permission for Toolroom Records to contact you at your email address and or Telephone number regarding the purchase.
Toolroom Records collects personal information from you in an effort to market to you more effectively, facilitate your purchases and offer a more personalised online experience.  Protecting your privacy is important to Toolroom Records and by ensuring that you are knowledgeable and understand Toolroom Records Privacy Policy, Toolroom Records can provide you with better service. To better serve you, Toolroom Records may use your personal information to contact you to request your participation in a market research survey. Maintaining your right to privacy is important to Toolroom Records. Toolroom Records will not sell your personal information to commercial entities, advertisers, etc. Toolroom Records is not in the business of exploiting its Users.

• Technical Issues
  

You are responsible for making sure your PC or other portable device can receive and play the Downloads & Materials.

• Your Conduct

You are prohibited from posting or transmitting to this website any material:

• That is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, and liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, and blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience.

• For which you have not obtained any necessary licences and/or approvals.

• Which constitutes or encourages conduct that would be considered a criminal office, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party. In the UK or any other country in the world.
  

• Which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, works, harmful components, corrupted data or other malicious software or harmful data).

• You may not misuse the website (including, without limitation, by hacking).

• Note that we will fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone posting any material in breach of this section.

We have not reviewed all of these third party websites and do not control and are not responsible for these websites, or their content or availability. We therefore do not endorse or make any representations about them or any material found there or any results that may be obtained from using them. • Termination
  

Toolroom Records may at any time lose the right to make certain Clips, Tracks, Materials and or Merchandise available.  In such an event, you will no longer be able to access these Clips, Tracks, Materials or Merchandise from Toolroom Records website search/browser function or obtain them form the websites catalogue. You can terminate the contract any time you like. You can do this by using the Un-subscribe function within the website or sending an email to info@toolroomrecords.com with unsubscribe in the subject box, requesting that your user account be terminated. If you unsubscribe, you will no longer be entitled to use the Service, however we may retain your personal information in accordance with the Privacy Statement.

• Exclusions
  

While we endeavour to ensure that this website is normally available 24 hours a day, we will not be liable if for any reasons this website is unavailable at any time or for any period. Toolroom Records shall have no liability for lost, damaged or destroyed Downloads. While we endeavour to ensure that the information on this website is correct, we do not warrant the accuracy and completeness of the Content on the website.

• Indemnity
  

By using this Service you agree to indemnify and hold harmless Toolroom Records and its agents, employees, directors, contractors, representatives, licensors, affiliates,  parents and subsidiaries from and against any and all claims, losses, demand, causes of action and judgements (including attorneys fees and court costs) arising from or concerning your breach of this Agreement and your use of the Service, the Tracks, the Materials, the Merchandise and Content and to reimburse them on demand for any losses, costs or expenses they incur as a result there of.

• Limitation
  

In so far as is possible in law, we exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, and direct, indirect or consequential loss or damages, or any loss of income or profits (whether direct or indirect) data, contracts, use of money, and whether in tort (including without limitation negligence, contract or otherwise) in connection with this website or the Service, including but not limited to loss or damage due to viruses that may infect your computer equipment, software, data or other property on account of your access to use of or browsing this, website or your downloading of any material from this website or any websites linked to this website.

• General
  

If we suggest ways in which you use the Service may be improved perhaps by using suggested software or download tools, we are only advising you that these are the tools that should play the tracks properly. We are not offering any promise or guarantee about the performance of these tools. Any complaints about these tools should be made to the relevant owners of the tools. We may revise any of the terms of this service at any time (including the price) at any time either by e-mail or by posting details on the web site.  If you do not agree to the proposed changes you may cease using the Service or unsubscribe, but you will still be liable to pay for any Tracks, Materials or Merchandise that have been Downloaded or ordered. Unless stated above, no part of this contract is enforceable by anyone who is not a party to it, pursuant to the Contracts (Rights of Third Parties) Act 1999.
